BECS seeks nominations for Elected Directors from the membership

British Equity Collecting Society Ltd (BECS) is seeking nominations from BECS members for Directors to serve on the BECS Board from 15th December 2017 until the 2020 Annual General Meeting.

 

There will be three vacancies relevant to the election under the current Articles of Association.

Should the BECS members vote to change the Articles of Association in the way to be proposed to the members at the Annual General Meeting (AGM) to be held on 15th December 2017 there will be five vacancies relevant to the election.

 

Any nominee must be a member of BECS and can put themselves forward by completing the nomination form which is attached here.  This needs to be completed and returned to the registered office of BECS by no later than 12 noon on Friday 13th October 2017.

 

Completed Nomination Forms should be either emailed to the Company Secretary at tnasser@becs.org.uk, sent by post or delivered by hand to BECS at 1st Floor, Plouviez House, 19-20 Hatton Place, London, EC1N 8RU.

 

All completed Nomination Forms will be checked to ensure that a nominee meets BECS’ nomination membership criteria before being accepted as a candidate for the purposes of any election.

 

If, at the AGM, the members of BECS vote to retain the current Articles of Association, the relevant election shall apply to three vacancies. In such circumstances, if only three or less than three candidates have completed Nomination Forms and are put forward for election, the nominated members will be elected to vacancies on the Board at the AGM of BECS to be held on 15th December 2017 regardless of the number of votes received.

 

If, at the AGM, the members of BECS vote to amend the Articles of Association as proposed, the relevant election shall apply to five vacancies. In such circumstances, if only five or less than five candidates have completed Nomination Forms and are put forward for election, the nominated members will be elected to vacancies on the Board at the AGM of BECS to be held on 15th December 2017 regardless of the number of votes received.

 

In any event, If, by noon on 13th October 2017, BECS shall have received and accepted more completed Nomination Forms for candidates than the number of vacancies provided for by the Articles of Association of BECS relevant to the election, BECS’ members will be invited to vote on the candidates to be elected to the vacancies on the Board by ballot.

 

The result of the ballot will be announced at the AGM of BECS to be held on Friday 15th December 2017.

 

If a ballot is held, the candidates with the highest number of votes will be elected to fill the relevant number of vacancies on the Board.

 

Any ballot will be by an all members ballot with each BECS’ member being entitled to cast one vote for no more than five candidates.  Voting papers must either be returned by post and received by BECS prior to 10am on Thursday 14th December or handed in when votes are called for in any ballot during the AGM on 15th December 2017.

 

Notes

1.  At the Annual General Meeting of BECS to be held on 15th December 2017, the members will be asked to amend the BECS’ Articles of Association to increase the maximum number of directly elected Directors from three to five.  A vote on this amendment will be taken before any ballot to elect candidates to vacancies for directly elected directors is called.

2.  Article 35 of the Articles of Association of BECS refers to the current procedure for the appointment of up to three “Elected Directors” to the Board of BECS.

3.  Article 35 of the proposed amended Articles of Association of BECS to be presented to the members of BECS at the AGM refers to the proposed procedure for the appointment of up to five “Elected Directors” to the Board of BECS.
